根據(jù)《中華人民共和國(guó)合同法》的規(guī)定，合同雙方就乙方向甲方提供一次性中心機(jī)房設(shè)備搬遷服務(wù)事宜，經(jīng)協(xié)商達(dá)成一致，確立本合同，以明確雙方的責(zé)任、權(quán)利及義務(wù)，確保合同雙方共同執(zhí)行。

this moving services agreement (the
"agreement") is entered into as of the日期

referred to as the"carrier").
recitals
the
shipper wishes to have its equipment in the central terminal moved
from the current address to 新地址and
the carrier is in the business of moving services and assures the
shipper that it has the facilities, personnel, and technical
expertise necessary to carry out the single full-service move. in
consideration of the mutual promises, covenants, and agreements
contained herein, both the parties reach the agreement as follows,
subject to the contract laws of people＇s
republic of china. hence, the responsibilities, rights, and
obligations of each party are specified with the view to ensuring
that both parties will honorably put the agreement into execution.
[免責(zé)條例]
（1）針對(duì)甲方需搬遷的設(shè)備，乙方只負(fù)責(zé)硬件設(shè)備搬遷不負(fù)責(zé)數(shù)據(jù)和軟件安全。
（2）對(duì)于搬遷的設(shè)備，乙方如果需對(duì)設(shè)備進(jìn)行拆裝，以后因拆裝引起的保修問(wèn)題由甲方負(fù)責(zé)。
exemptions
1. in performing the services stipulated in the agreement, the
carrier shall be responsible for moving the shipper＇s
hardware only, but shall not in any way be held liable for the safety
or intactness of the database and software concerned.
2. also,
the carrier shall uninstall and install the equipment (as defined
below), but any problem arising thereof in connection with maintenace
and repair of the equipment shall be handled by the shipper
only.

甲乙雙方在搬遷完三個(gè)工作日內(nèi)：乙方根據(jù)《搬遷驗(yàn)機(jī)單》統(tǒng)計(jì)此次搬遷設(shè)備所產(chǎn)生的費(fèi)用，將《費(fèi)用清單》以書(shū)面形式交付甲方，甲方核實(shí)無(wú)誤后簽字確認(rèn)，此《費(fèi)用清單》原件甲乙雙方各持一份（《費(fèi)用清單》見(jiàn)附件b）。
注：因本合同所產(chǎn)生搬遷設(shè)備數(shù)量無(wú)法在搬遷前確認(rèn)及統(tǒng)計(jì)，所以具體費(fèi)用以《費(fèi)用清單》為準(zhǔn)。
within
three days after the services agreed on are completed, the carrier is
to add up the total cost of the services on the basis of the delivery
receipt duly signed by the shipper and then present the detailed bill
in writing to the shipper. after verifying the bill, the shipper
shall sign on it. after that, each party shall be given one copy of
the signed bill (see attachment b).
note: since the workload
involved with the agreement cannot be precisely estimated before the
move, the actual expenses shall depend on nothing other than the
final detailed bill.
[甲方搬遷前準(zhǔn)備
]
1.做好所有數(shù)據(jù)備份，確保數(shù)據(jù)安全；
2.選擇一條以上運(yùn)輸線路圖
，提前五日提供給乙方；
3.檢測(cè)新機(jī)房溫度，濕度，電源環(huán)境（注:地線必須接地）達(dá)到設(shè)備使用要求；
4.提前辦理好搬遷所需的出入門(mén)及相關(guān)手續(xù)，以便搬遷順利；
5.甲方提供一位協(xié)調(diào)人員與乙方協(xié)調(diào)人員配合工作；
6.新機(jī)房設(shè)備擺放圖，提前五天供給乙方；
7.新工作環(huán)境和現(xiàn)在工作環(huán)境各提供一間作為設(shè)備周轉(zhuǎn)用途的工作場(chǎng)地。

on the part of the shipper
the shipper shall make the
preparations set forth below:
1. reproduce all the digital files
in adequate numbers of copies to make certain that the database is in
secure condition.
2. select more than one transportation route
and provide it for the carrier at least five days prior to the
move.
3. inspect and measure the temperature, humidity, and
power supply (with ground connection properly made) in the new
terminal to ensure that they are up to the requirements.
4.
secure all the entrance and exit permits and go through all the
necessary procedures in advance to facilitate the move.
5.
designate a coordinator to work with the counterpart appointed by the
carrier.
6. provide the map and the layout of the new terminal
for the carrier at least five days prior to the move.
7.
allocate a temporary storage room suitable for the equipment in
transit both at origin and at destination.

as various types of screw-drivers, t8，t9，
t10，t15，
t20，t30，
t40, color-coded
labels, cartons, pulleys, wrenches, and shock-absorbing
materials.
4.with the shipper＇s
approval, inspect the new terminal and get familiar with its layout
three days prior to the move.

服務(wù)器 ,機(jī)柜拆卸
1.甲方與乙方同時(shí)檢測(cè)服務(wù)器狀態(tài)和服務(wù)器配置，檢測(cè)完后雙方在驗(yàn)機(jī)單上簽字（《搬遷驗(yàn)機(jī)表》見(jiàn)附件a）；
2.由甲方關(guān)閉所有搬遷設(shè)備軟件程序；
3.由乙方工作人員斷開(kāi)電源
；
4.拆卸前每位乙方工作人員佩戴防靜電手環(huán)；
5.以甲方現(xiàn)在每個(gè)機(jī)柜為一套設(shè)備進(jìn)行統(tǒng)一標(biāo)識(shí)；
6.每臺(tái)服務(wù)器對(duì)應(yīng)的聯(lián)線、硬盤(pán)、電源貼上對(duì)應(yīng)標(biāo)簽；
7.斷開(kāi)服務(wù)器所有聯(lián)線；
8.將服務(wù)器拆離機(jī)柜，如果拆離硬盤(pán)應(yīng)做好標(biāo)識(shí)；
9.對(duì)服務(wù)器進(jìn)行包裝，對(duì)拆離的硬盤(pán)做減震包裝；
10.搬運(yùn)上車(chē)。
(b).

cabinet
1.
both the shipper and the carrier shall inspect and test the server
and its accessories simultaneously and both parties shall sign on the
inventory list (see attachment a) after the satisfactory
inspection.
2. the shipper is to terminate all the software
employed on the server.
3. the employee of the carrier is to
turn off the power supply.
4. each employee of the carrier shall
put on an antistatic bracelet before work.
5. the carrier shall
now start to attach a color-coded label to the cabinet and its
corresponding server in an organized way.
6. the cables, disks,
and power supply of each server are marked with identical color-coded
labels respectively.
7. the cables of the server are taken
away.
8. the server is separated from the cabinet and its disks
are properly labeled if taken out.
9. the server is securely
packed and its isolated disks are wrapped in shock-absorbing
materials.
10. the server together with its accessories is
loaded in the vehicle.

6.每臺(tái)服務(wù)器對(duì)應(yīng)的聯(lián)線、硬盤(pán)、電源貼上對(duì)應(yīng)標(biāo)簽；
7.斷開(kāi)服務(wù)器所有聯(lián)線；
8.將服務(wù)器拆離機(jī)柜；
9.對(duì)服務(wù)器進(jìn)行整體減震包裝（注：甲方咨詢過(guò)易安信客服建議硬盤(pán)不要單獨(dú)拆離服務(wù)器）；
10.搬運(yùn)上車(chē)。

its hard disks is securely packed in shock-absorbing materials in
accordance with the recommendation made by the emc customer service
department.
10. the server together with its accessories is
loaded in the vehicle.

4.經(jīng)甲方同意提前三天到新機(jī)房熟悉甲方提供的設(shè)備擺放圖；
5.與小型機(jī)工作人員配合完成拆卸前準(zhǔn)備。

5. team up with the working staff
of the shipper in charge of the said device to render it ready to be
disassembled.

拆卸
1.甲方與乙方同時(shí)檢測(cè)設(shè)備，檢測(cè)完后雙方在驗(yàn)機(jī)單上簽字（《搬遷驗(yàn)機(jī)表》見(jiàn)附件
a）；
2.由甲方關(guān)閉搬遷設(shè)備軟件程序；
3.拆卸前每位乙方工作人員佩戴防靜電手環(huán)；
4.以甲方現(xiàn)在每個(gè)機(jī)柜為一套設(shè)備單元進(jìn)行統(tǒng)一標(biāo)識(shí)；
5.每臺(tái)小型機(jī)，磁盤(pán)陣列柜對(duì)應(yīng)的聯(lián)線貼上對(duì)應(yīng)標(biāo)簽；
6.斷開(kāi)所有聯(lián)線；
7.對(duì)設(shè)備進(jìn)行減震包裝；
8.搬運(yùn)上車(chē)。
